These Terms of Service govern your access to and use of the heystar.world website, mobile applications, and related products and services.

1. Eligibility & accounts
You must be at least 16 years old to use the Platform, or older if a higher age of digital consent or contractual capacity applies where you live. If you are under the age of majority in your country, you may use the Platform only with the involvement of a parent or legal guardian who agrees to these Terms.
When you create an account you agree to provide true, accurate and complete information and to keep it up to date. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at the address in Section 19 of any unauthorised use. You may not create an account using a false identity, or if you have previously been removed or banned.
Sanctions and export compliance: You represent that you are not located in, and are not a national of or ordinarily resident in, a country or territory subject to comprehensive EU, UN, US or other applicable sanctions, and that you are not listed on any applicable list of restricted or sanctioned persons. You agree not to use the Platform in violation of any applicable export-control or sanctions laws.
2. How the Platform works
A Customer submits a request to a Star for a Star Video, personalised for the Customer or for a third party the Customer identifies (a "Recipient").
The Star decides in their sole discretion whether and how to fulfil the request, and the creative content of the Star Video. A Star may decline a request. We may also reject or remove any request or Star Video in accordance with these Terms and our Acceptable Use Policy.
Unless a shorter delivery option is offered and purchased, a Star has up to seven (7) days to fulfil or decline a request. If a paid request is not fulfilled within the applicable period, you are entitled to a refund or credit as described in Section 7.
heystar acts as an intermediary platform that enables transactions between Customers and Stars and processes payments. Except where expressly stated, heystar is not the author of, and is not a party to, the creative content of any Star Video.
3. Star Videos & licences
Star Videos are licensed to you, not sold. Subject to these Terms and to your payment in full, the relevant Star grants you a non-exclusive, royalty-free, worldwide, revocable licence to use, reproduce, distribute and publicly display the Star Video for your own personal, non-commercial and non-promotional purposes, including sharing it on social media and at private or public events of up to 1,000 people, provided the Star Video does not promote or endorse any business, product or service.
You may not sell, resell, commercialise, mint as a non-fungible token, or otherwise encumber any Star Video except with our prior written agreement. You may sub-licence only to the limited extent necessary to use the Star Video as permitted above. You must not remove, obscure or alter any watermark, and you must not edit or create derivative works of a Star Video except as expressly permitted in Section 4. We may remove a Star Video or terminate a licence where required by law or for breach of these Terms.
4. Business Videos
Some Stars offer Star Videos that promote or endorse a product, service, brand or business, or that are used for internal business communications ("Business Videos"). When requesting a Business Video you must identify the business and the specific product, service or brand to be mentioned, and you must have all rights and authority to make the request on the business's behalf.
Subject to payment in full, the Star grants you a licence to use the Business Video solely for the reasonable promotional purposes of the identified business, for the period and on the channels agreed in the booking flow. Your use is conditioned on: keeping any watermark intact unless otherwise agreed; not misrepresenting or omitting the substantive message or any endorsement; holding all rights to any other elements you combine with the Business Video; and complying with all applicable advertising and endorsement-disclosure laws (for example, clearly labelling sponsored content). You agree to indemnify the relevant Star in connection with your Business Video and your underlying products, services and operations, and the Star is an intended third-party beneficiary of this Section 4.
5. Acceptable use
Your use of the Platform is subject to our Acceptable Use Policy & Community Guidelines, which is incorporated into these Terms by reference. You must not request, create, upload or share content that is unlawful, infringing, harassing, hateful, sexually exploitative, defamatory, deceptive, or that violates the rights or privacy of others. We may refuse, remove or restrict content and requests that breach those rules.
6. Fees, payment & taxes
Fees. The price of a Star Video or other offering is shown on the Star's booking page before you confirm your order. You agree to pay all amounts due, including any applicable service or processing fees.
Currency. Prices may be displayed and charged in euro (EUR), Georgian lari (GEL), US dollars (USD) or another supported currency. Currency conversion and any fees charged by your card issuer or payment provider are your responsibility.
Payment. Payments are processed by third-party payment providers. Your use of a payment method is governed by your agreement with that provider. You authorise us (or our provider) to charge the amount due at the time of booking; where a request is declined or not fulfilled, the amount is refunded or credited as set out in Section 7.
VAT and other taxes. Prices include or are subject to value added tax (VAT) and any other applicable taxes as required by Estonian, EU and Georgian law. Where we are required to collect VAT or an equivalent tax, it will be shown at checkout. Stars are responsible for their own income and other taxes on amounts they receive.
Star share. Amounts paid for a Star Video or other paid feature are divided between heystar and the Star as set out in our separate Talent terms.
7. Cancellations & refunds
ALL SALES ARE FINAL ONCE A STAR BEGINS WORK. NO REFUNDS WILL BE ISSUED FOR A FULFILLED ORDER.
Because a Star Video is personalised digital content made specifically to your specification, you agree that performance begins immediately and, at checkout, you give your prior express consent to that and acknowledge that you thereby lose any right of withdrawal once a Star begins fulfilling your request. From that point the order is final and non-refundable.
The only situations in which you may receive a refund or credit are the limited cases below, which applicable EU and Georgian consumer law does not permit us to exclude:
Before work begins. If you cancel before the Star has started fulfilling your request, you may withdraw and receive a refund or credit.
Undelivered or declined. If a Star declines your request, or does not fulfil it within the applicable delivery period, you receive a refund to your original payment method or a credit, at your choice, because you are not charged for something you never received.
Non-conformity. If a delivered Star Video does not match what was ordered, you may be entitled to a remedy under Section 9, as required by mandatory consumer law.
Credits issued to your account are not redeemable for cash, cannot be transferred, and are used automatically against eligible purchases. Outside the cases above, no refunds are given.
8. Intellectual property & your submissions
Each Star Video is owned by the Star who created it. heystar and its licensors own all rights in the Platform itself, including its software, design, text, graphics and trademarks. You may not copy, resell or reuse any part of the Platform without our prior written consent.
When you submit a request, message, review, idea, reaction or other content (a "Submission"), you grant heystar a non-exclusive, royalty-free, worldwide, sub-licensable licence to use, reproduce, adapt and display that Submission for the purposes of operating, improving and promoting the Platform, to the extent permitted by applicable data-protection law. You confirm you have the rights necessary to grant this licence and that your Submission does not infringe the rights of others. We are not obliged to accept, transmit or retain any Submission and may remove it where it breaches these Terms.
9. Consumer rights (EU/EEA & Georgia)
If you are a consumer, you benefit from mandatory protections that these Terms do not override:
EU/EEA: rights under the Consumer Rights Directive (2011/83/EU), the Directive on contracts for the supply of digital content and digital services (2019/770), and the Unfair Contract Terms Directive (93/13/EEC), as implemented in Estonia and your country of residence. This includes remedies where digital content is not supplied or is not in conformity with the contract.
Georgia: rights under the Law of Georgia on the Protection of Consumer Rights, including information rights, the right of withdrawal for distance contracts (subject to the personalised-content exception in Section 7), and remedies for defective performance.
Out-of-court dispute resolution: EU consumers may use the European Commission's Online Dispute Resolution platform and competent national consumer bodies. Georgian consumers may contact the LEPL Competition and Consumer Agency of Georgia.
10. Privacy & data protection
We process personal data in accordance with the EU General Data Protection Regulation (GDPR), the Estonian Personal Data Protection Act, and, where applicable, the Law of Georgia on Personal Data Protection. Our Privacy Policy explains what data we collect, why, the legal bases we rely on, how long we keep it, and your rights. By using the Platform you acknowledge that processing.
11. Content moderation & the Digital Services Act
As a provider of an intermediary service in the EU, heystar operates notice-and-action mechanisms in line with Regulation (EU) 2022/2065 (the Digital Services Act). You may notify us of illegal content via the contact details in Section 19. We will act on valid notices, may remove or disable access to content, and will give affected users a statement of reasons and access to our internal complaint-handling procedure where the DSA requires it.
12. Third-party content & links
The Platform may link to or integrate third-party sites, services and content that we do not control. We are not responsible for them, and a link does not imply endorsement. Interactions you have with Stars or other users are at your own risk; you agree to deal with Stars only through the Platform. We may, but are not obliged to, mediate disputes between users.
13. Disclaimers
To the extent permitted by applicable law, the Platform is provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted or error-free, or that any content will be accurate, complete or fit for a particular purpose. Nothing in this Section excludes or limits any warranty, guarantee or remedy that cannot be excluded or limited under mandatory law applicable to consumers.
14. Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited or excluded under applicable law (including mandatory consumer protections).
Subject to the paragraph above, and to the extent permitted by law: we are not liable for indirect or consequential loss, loss of profit, revenue or data; and our total aggregate liability arising out of or in connection with these Terms or the Platform is limited to the greater of the total fees you paid to heystar in the 12 months before the event giving rise to the claim, or EUR 100. For consumers, this limitation applies only to the extent permitted by mandatory law and does not affect your statutory rights.
15. Indemnity
If you use the Platform as a business or other non-consumer, you agree to indemnify and hold harmless heystar and its officers, employees and agents from claims, losses and reasonable costs (including legal fees) arising from your breach of these Terms, your Submissions, or your misuse of the Platform. This Section does not apply to you to the extent you act as a consumer.
16. Suspension & termination
You may close your account at any time by contacting us. We may suspend or terminate your access where you materially breach these Terms or the Acceptable Use Policy, where required by law, or to protect the Platform, other users or third parties. On termination, the licences granted to you for Star Videos end and you must stop using and delete any copies, except to the extent applicable law provides otherwise. Where you act as a consumer, we will give reasonable notice unless an urgent or legal reason requires immediate action.
17. Changes to the Platform & Terms
We may modify or discontinue features of the Platform. We may also amend these Terms; if we make material changes we will post the updated Terms and update the "Last updated" date, and where required by law we will notify you and, for consumers, give you the right to reject the change or terminate before it takes effect. Changes do not apply retroactively to completed transactions.
18. Governing law & disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of Estonia, without prejudice to the mandatory consumer-protection rules of the country in which you are habitually resident. The courts of Estonia have jurisdiction, except that, if you are a consumer, you may also bring proceedings in the courts of your country of residence, and the mandatory rules and competent courts of that country (including, for Georgian consumers, the courts of Georgia) continue to apply where the law so requires. This Section does not deprive you of any statutory right to alternative dispute resolution.

Force majeure: we are not liable for delay or failure caused by events beyond our reasonable control. Assignment: we may assign these Terms in connection with a merger, reorganisation or sale of assets; your rights are not affected. Severability: if any provision is invalid, the rest remain in force. Entire agreement: these Terms, the Privacy Policy and the Acceptable Use Policy form the entire agreement between you and heystar regarding the Platform.
